1. Acceptance of Terms

By accessing or using any website, application, or service operated by SYDE IO PTY LTD (Registration Number: 2023/748723/07), you agree to be bound by these Terms of Use. If you do not agree to all of these terms, you must not access or use our services.

These Terms of Use constitute a legally binding agreement between you and SYDE IO PTY LTD. Your continued use of our services following the posting of any changes to these terms constitutes acceptance of those changes.

2. Definitions

  • "Company," "we," "us," or "our" refers to SYDE IO PTY LTD (Registration Number: 2023/748723/07), a company registered in the Republic of South Africa.
  • "Service" refers to any website, application, platform, or digital product operated by the Company, including but not limited to Z²M Academy.
  • "User," "you," or "your" refers to any individual or entity that accesses or uses our Service.
  • "Content" refers to all text, images, audio, video, data, software, and other materials available through our Service.
  • "Subscription" refers to a paid, recurring arrangement granting access to premium features or content within our Service, such as Z²M Academy.
  • "Z²M Academy"refers to our children's educational game application that provides learning games covering topics such as farm animals, body parts, food, family, shapes, and reading for young children.

3. Description of Services

SYDE IO PTY LTD provides software development services and digital products. Our current offerings include:

  • Z²M Academy— A children's educational game application designed for young children, featuring interactive learning games covering farm animals, body parts, food, family, shapes, and reading.
  • Software Development Services — Custom software development, consulting, and related technology services for businesses and organisations.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. User Accounts and Responsibilities

Certain features of our Service may require you to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Maintain the security and confidentiality of your login credentials and restrict access to your account.
  • Accept responsibility for all activities that occur under your account, whether or not authorised by you.
  • Notify us immediately at info@sydeio.com if you become aware of any unauthorised use of your account.

For Z²M Academy, children do not create accounts. Progress is tracked anonymously using a randomly generated UUID stored in a browser cookie. Parents or guardians are responsible for managing subscriptions and overseeing their children's use of the application.

5. Payment Terms

Access to Z²M Academy and other premium services requires a paid subscription. By subscribing, you agree to the following payment terms:

  • All payments are processed securely through our licensed payment gateway provider. We do not store your payment card details on our servers.
  • All prices are quoted and charged in South African Rand (ZAR) unless otherwise stated.
  • Subscriptions are billed on a recurring basis according to the plan selected at the time of purchase (e.g., monthly or annually).
  • You authorise us to charge your chosen payment method for all fees associated with your subscription.
  • Subscription fees are non-refundable except where required by applicable South African consumer protection legislation, including the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002.
  • We reserve the right to change subscription pricing. Any price changes will be communicated to you in advance, and you may cancel your subscription before the new price takes effect.
  • If payment fails or is declined, access to premium features may be suspended until payment is successfully processed.

6. Intellectual Property

All content, features, and functionality of our services — including but not limited to text, graphics, logos, icons, images, audio clips, video, software, and the compilation thereof — are the exclusive property of SYDE IO PTY LTD or its licensors and are protected by South African and international copyright, trademark, patent, trade secret, and other intellectual property laws.

  • You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Service without our prior written consent.
  • The SYDE IO name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SYDE IO PTY LTD. You may not use such marks without our prior written permission.
  • Z²M Academy, including all game content, characters, artwork, sound effects, and educational materials, is the intellectual property of SYDE IO PTY LTD.

7. Acceptable Use

You agree not to use our Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Infringe upon or violate the intellectual property rights or privacy rights of others.
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Introduce viruses, trojans, worms, or other malicious software or harmful code.
  • Attempt to gain unauthorised access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Use any automated system, including bots, crawlers, or scrapers, to access the Service without our express written permission.
  • Reverse engineer, decompile, or disassemble any software or technology used in the Service.
  • Use the Service in any manner that could damage, disable, overburden, or impair it.

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice, for any violation of these acceptable use provisions.

8. Children’s Use

Z²M Academy is designed as an educational tool for young children. However, the following conditions apply:

  • Parental/Guardian Responsibility: Only parents or legal guardians may purchase subscriptions to Z²M Academy. By purchasing a subscription, you confirm that you are at least 18 years of age and are the parent or legal guardian of the child who will use the application.
  • No Personal Data Collection from Children: Z²M Academy does not collect any personal information from children. Progress within the application is tracked anonymously using a randomly generated UUID stored in a browser cookie. This identifier cannot be used to identify any individual child.
  • Safe Environment: Z²M Academy is designed to provide a safe, ad-free educational environment. The application does not contain links to external websites, social media integrations, or in-app purchases accessible to children.
  • Supervision:We encourage parents and guardians to supervise their children's use of digital applications and to engage with the educational content together.

Our practices comply with the Protection of Personal Information Act 4 of 2013 (POPIA) and are designed to protect children's privacy and safety.

9. Limitation of Liability

To the fullest extent permitted by applicable South African law:

  • The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • SYDE IO PTY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.
  • Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.
  • We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable South African law, including the Consumer Protection Act 68 of 2008.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms of Use.
  • Failure to pay subscription fees when due.
  • Conduct that we determine to be harmful to other users or the Service.
  • Requests by law enforcement or government agencies.

You may terminate your account and subscription at any time by contacting us at info@sydeio.com or through the account management features of the Service. Upon termination:

  • Your right to access the Service will immediately cease.
  • Any fees already paid are non-refundable, except where required by applicable South African consumer protection legislation.
  • Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

12. Changes to Terms

We reserve the right to modify or replace these Terms of Use at any time at our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page.

For material changes that affect your rights or obligations, we will make reasonable efforts to notify you via email or through a prominent notice on our Service at least 30 days prior to the changes taking effect.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
